Additional Notes

Unzip this file and store it in it own folder. I had to remove the modem using add/remove in the control panel, then reboot and then use add hardware when it asked for driver i referenced this file. bingo it worked at last

"Worked ok. But couldn't shut the speaker up while online. None of the drivers for XP appear to address this. I suggest a hot glue gun spot into the piezo speaker works - if not ideal solution."

"The details of the device was PCI\VEN_127A&DEV_2015&SUBSYS_2015127A&REV_01\4&1F4428AA&0&50F0 that I found through device manager.

this 127A - 2015 combination indicates Generic SoftK56 modem

After downloading this driver from Driverguide, I just had to uncheck 'Wait for dial tone' option in Control Panel, Phone and Modem options.
